All information provided shall be kept in strict confidence and will be tightly guarded by Cowan + Associates. It will not be published, traded, sold or provided in any respect for use by any entity other than Cowan + Associates without your written consent.
LEGAL STATEMENT
Corporations and Joint Venture
L.H. Cowan & Associates, Inc. and Cowan & Garand Architects, Inc. are Ohio corporations located at 438 E. Wilson Bridge Road Worthington, OH 43085 that together form the joint venture of “Cowan + Associates.” The companies employ architects, engineers, designers, planners, technicians and business professionals engaged in the process of providing professional design and related services including but not limited to architecture, mechanical-electrical-plumbing engineering, construction drawings, specification writing, master site planning, CAD drafting, creative design, illustration, interior planning, interior design, lighting design, fixture & furnishing design, resource management, project management, contract administration and design-build. Professional services are provided on a contract basis under agreement with corporations, partnerships, owners and other entities requiring a specific scope of services associated with design and administration of commercial and residential projects.

Consultants and Contractors
From time to time and project to project, Cowan + Associates’ client(s) and/or Cowan + Associates may contract the services of project consultants. These project consultants may offer specialized consulting services in areas including, but not limited to, construction, architecture, engineering, land surveying, geotechnical sciences, environmental sciences and marketing. Project consultants that are contracted through Cowan + Associates are done so as independent contractors responsible for specific project work and/or services provided on be-half of the project as outlined in project consultant agreements. Regarding construction, the general contractor and/or contractors is (are) responsible for the ultimate means & methods of construction, the safety of its work forces including subcontractors, and compliance with OSHA regulations & guidelines.
Suppliers
From time to time and project to project throughout the design process, Cowan + Associates’ client(s) and/or Cowan + Associates may propose or specify specific suppliers of products, materials and/or supplemental services related to delivery and installation of those products and materials to be supplied. Specification of specific products, materials or suppliers does not guarantee a final contract for products or services. Procurement of products, materials and the labor or services required to deliver and install the products or materials for any project shall be by direct agreement between the supplier and the owner or the project’s general contractor or contractors.
Electronic Communications
If you have received electronic communications in the form of e-mail, facsimile or any other method of electronic data transfer from employees or consultants of Cowan + Associates, you are notified that information contained within such communication is intended for delivery to and the confidential use of only those recipients indicated on such communications. Copying and re-distribution of such communications or the information and data contained in such communications, unless authorized in writing by the sender, is strictly prohibited. Certain communications or parts of certain communications may contain the opinion of individuals and as such are not to be construed or interpreted as the general or specific opinion of Cowan + Associates, its principals, its officers, its directors or its employees.
Transfer of Electronic Data
Electronic data stored on any media may deteriorate over time and result in distortion of information. Transfer of electronic data by any means or method may result in distortion of information. Translation of electronic data from one computer system to another or one software to another can and often does result in distortion of information. Cowan + Associates makes no representations to the usability of electronic data or information on any computer or computer and software system other than its own. It is the responsibility of the recipient of electronic data to confirm and maintain the accuracy of information and to trouble-shoot and fix any distorted information contained in electronic data transferred to recipient by any method, means or within any media or format.
Tools of Service
Cowan + Associates’ tools of service are all tangible and intangible instruments utilized to provide professional services and include but are not limited to computer & software systems, electronic data of any sort (including but not limited to CAD drawing files, PDF files, JPG files, TIFF files or electronic scans), design concepts, sketches, renderings, drawings, specifications, written programs and photographs. Cowan + Associates’ tools of service are owned and authored by Cowan + Associates and are intended for the exclusive use of Cowan + Associates unless explicit authorization is given in writing authorizing and allowing specific use of these tools of service by entities other than Cowan + Associates.
Prohibition on Use of Cowan & Associates’ Tools of Service
The copying, use or re-use of Cowan + Associates’ tools of service for purposes, site-locations and projects other than as intended and allowed by written authorization from Cowan + Associates is strictly prohibited. The distribution and re-distribution of Cowan + Associates’ tools of service other than as allowed by written authorization from Cowan + Associates is strictly prohibited.
Allowable Use of Cowan + Associates’ Tools of Service
If you have received or are using Cowan + Associates’ tools of service, you and/or the entity employing you shall be referred to as the “recipient.” The recipient of Cowan + Associates’ tools of service is obligated to seek out and receive the appropriate use authorization from Cowan + Associates and is responsible and liable for any and all authorized or un-authorized use, re-use and distribution of Cowan + Associates’ tools of service in any format written or verbal and including but not limited to the entire contents, concepts, data and/or information contained within the tools of service. The recipient shall indemnify and hold Cowan + Associates harmless from all claims, liabilities, demands, expenses, costs, etc. including but not limited to attorney fees and expenses connected with recipients un-authorized use, re-use or distribution of the tools of service including use in any manner by other parties due to recipient’s un-authorized distribution.
Responsibility to Verify Information
If the recipient of Cowan + Associates’ tools of service is a project consultant contracted in agreement with Cowan + Associates to provide services for any given project(s), recipient shall be allowed to depend on the reasonable accuracy of information provided within Cowan + Associates’ tools of service if: 1) such information has been developed from raw data collected and/or compiled by Cowan + Associates, 2) such information has not been distorted through electronic transfer of data, or 3) such information has not been distorted due to project consultant operating or using computer systems and/or software that differ from that which is used by Cowan + Associates. In any instance, it is the responsibility of recipient to verify the accuracy of all information provided within Cowan + Associates’ tools of service.
